DipGrid Terms of Service
Last updated: October 16, 2026 · Effective: October 16, 2026
These Terms govern your use of DipGrid (the "Service"), provided by DipGrid LLC, a Florida limited liability company, 7901 4th St N, Ste 300, St. Petersburg, FL 33702, USA ("DipGrid", "we", "us"). Contact: [email protected].
1. Agreement and eligibility
By ticking the box at sign-up you accept these Terms and the Automated Trading Risk Disclosure. The Privacy Notice explains how we handle your data. You must be at least 18, a resident of the United States, and legally able to enter into a contract. You may connect only a brokerage account that you own. The Service is not offered for accounts traded on behalf of other people.
2. What the Service does
DipGrid is software. It places and cancels orders in your own brokerage account according to the rules you set for each bot: the bot type, the stock, the bot's money limit, trading hours and the other settings shown in the app. A grid bot buys at price levels a set step apart and sells each share a step higher. A DCA bot makes a first buy, adds buys at set steps below it, sells all of the round's shares together at a set profit above their average price, and then starts a new round.
The list of supported stocks is a technical list of stocks the Service can trade; it is not a recommendation. We do not choose stocks for you, recommend settings, judge whether a strategy suits your finances, or make investment decisions for you. Each bot, stock and setting is your own decision, based on your own evaluation of your finances, needs and goals. A value pre-filled in a form is a starting point for you to change, not advice. Support explains how the software works; it does not give investment, legal or tax advice. Examples, practice results and backtests illustrate how the software works and do not promise any financial result.
3. Your broker and account
Your broker — one of the brokers supported by the Service, listed in the app — holds your cash and shares and decides whether to accept, execute, reject or cancel each order under its agreement with you. Connecting your account does not transfer anything to us. We use the connection only for the account you choose: to read its cash, buying power, positions and orders, and to place and cancel orders there. The connection cannot withdraw or move money. You remain responsible for broker fees, interest, taxes and your broker's rules, and for following your agreement with your broker. We are not responsible for the actions or decisions of your broker, an exchange, a market center, a clearing firm or a regulator — for example a trade they cancel or adjust, a trading halt, or a restriction on your account.
Brokers without an agreement with us. Some brokers supported by the Service have no agreement with DipGrid. We connect to them through access the broker offers its own customers, such as a connection for personal trading agents that you set up and approve at your broker. Such a broker has not reviewed or approved the Service and may change, limit or end that access at any time, for you or for all of its customers, without notice to you or to us. If that happens, your bots there stop placing and cancelling orders, as described under "If the connection is lost" in section 4. You connect such a broker at your own risk, and we are not responsible for its decision to limit or end that access.
Practice accounts use simulated money and simulated fills. Their results can differ substantially from real trading and may overstate what you could achieve.
4. Bots and your trading authorization
Before you start. A bot is created paused. Before you press Start, the app shows the orders the bot will place now and the money it will hold.
What Start authorizes. By pressing Start you authorize DipGrid to place and cancel limit orders to buy and sell the bot's stock in the connected account, repeatedly and without asking you about each order, within the bot's saved settings ("bot trading"). This authorization covers only that account and that stock. Pausing limits bot trading to sell orders (section 5). Bot trading ends when you stop the bot, disconnect your broker or your access to the Service ends. When it ends, you also authorize us to send requests to cancel the bot's open orders and, if you chose to sell when stopping the bot, to carry out that sale as described in section 5 until the bot's shares are sold, you cancel the sale, you disconnect your broker or your access ends. A market order is placed only if you choose "sell at market" when stopping a bot.
The money limit. A bot's money limit is a limit inside our software. Your broker does not set this money aside. The limit counts the shares the bot holds, at what it paid, and its open buy orders. Bots draw only on your cash: they do not buy on margin credit unless you turn on "Allow buying on credit" for the account. If several bots need more cash than is available, they are served in the order they were created. A DCA bot also counts the money that its current round's add-buys not yet placed will need, and bots created after it do not use that money. Your own trades and other apps use the same cash, so a bot may buy less than its limit. Lowering a limit does not cancel buy orders already placed; the bot places no new buys until it is back within the limit.
Which shares the bot sells. The bot keeps its own record of the shares it bought and still holds, and sells at most that many, never more than the account holds. Each fill, including a partial fill, becomes shares held by the bot, and the bot places a sell order for them. Your broker does not tell the bot's shares apart from yours. If you buy or sell the bot's stock yourself in the same account, the bot still counts its own shares and may later sell them, leaving you fewer shares than you expect. If the account holds fewer shares than the bot counts, the bot holds its sale, and if the difference remains, stops the account's buys while we check it. To keep your own shares of that stock separate, do not trade it in the same account while the bot holds shares, or stop the bot first. Your broker chooses which tax lots are sold. If you set a DCA bot to keep some shares, each round's sale covers all of the round's shares except those; once that sale fills, the kept shares are your own: the bot no longer counts, watches or sells them, and Stop and Delete do not touch them.
Changing settings. A saved change is applied at the bot's next check, usually within a minute while the Service is connected to your broker. At that check the bot cancels buy orders that no longer fit the new settings and places new orders by them; sell orders already placed keep working. Changing trading hours cancels and re-places all of the bot's orders. Some settings cannot be changed while the bot holds shares. You choose which changes and commands we email you about in Account → Notifications; emails about risky changes, such as a new bot, a new stock or more money for a bot, are on from the start, and turning one off sends you an email. We cannot guarantee that an email is delivered.
If the connection is lost. If we lose access to your broker — a broker outage, an expired broker sign-in or our own outage — we cannot place or cancel anything. Orders already placed stay at your broker and can fill; good-till-cancelled orders can stay open for weeks under your broker's rules. When access returns, the bot continues in the state it was in, running or paused, without a new Start.
Safety controls. We may stop a bot's new buys, and may cancel its open buys, because of a security incident, errors reading your account, a broker problem affecting many accounts, a broker restriction, a legal requirement, a sharp price move, a loss limit you set, a stock leaving our supported list or an unusual burst of changes. These controls reduce some risks; they are not a promise to prevent losses. We never sell your shares on our own initiative: shares are sold only by the bot's sell orders under your settings or by the choice you make when stopping a bot.
Stock splits and other corporate actions. Bots do not adjust their price levels, money limit or share count for stock splits, reverse splits, mergers, symbol changes or delistings. After such an event a bot's orders and records may no longer match your account, and a safety control may stop its buys. Before such an event, pause or stop the bot; afterwards, check it against your broker account.
Check your account. Review your broker account and the bot's journal regularly. If a bot places or cancels an order that does not match its settings, or you see an order you did not expect, you agree to tell us at [email protected] within 5 business days of that order, so we can investigate while the records are fresh.
5. Pausing, stopping and disconnecting
- Pause (or Pause all for every bot on the account): the bot stops placing buy orders and asks your broker to cancel its open buy orders. A cancellation takes effect only when your broker confirms it; the app shows which cancellations are still waiting. A buy can fill before the cancellation is confirmed; the bot then holds those shares and places a sell order for them. While paused, the bot keeps placing and managing sell orders for the shares it holds.
-
Stop ends the bot. You choose what happens to its shares:
- keep them — we ask your broker to cancel all of the bot's orders;
- sell at market — one market order for the bot's shares, during regular market hours only; if you stop outside regular hours, it is placed when they open;
- sell at the bid — one limit order at the bid shown when you confirm, less $0.01; the price does not change afterwards;
- list them at your price — one limit order at the price you enter.
For a sale, we first ask your broker to cancel the bot's other orders and wait for the confirmations. The sale covers the shares the bot holds when it is sent, including shares from a buy that filled before its cancellation was confirmed. A sale is an order: it may fill in part, late or not at all. If it expires or is cancelled before it fully fills, we check the account with your broker and place a new sale only for the shares the bot still holds. We keep doing this until the bot's shares are sold, you cancel the sale in DipGrid, you disconnect your broker or your access ends; a sale you cancel only in your broker's app will be placed again. A safety check may hold a sale until you confirm its price again. Cancellations are requests to your broker: an order whose cancellation is not confirmed can stay active and fill. Check the result in your broker account.
- Delete removes a bot. A bot with no shares and no orders is deleted at once. A bot you stopped with its shares kept can be deleted once your broker has confirmed its cancellations: the shares stay in your account as your own, and DipGrid no longer counts, watches or sells them — a new bot on the same stock does not treat them as its own. This cannot be undone.
- Disconnect stops your bots on that account with their shares kept: we ask your broker to cancel all of the bots' orders, wait a short time for confirmation, then delete our access. We email you a list of any orders whose cancellation was not confirmed. After that we cannot cancel or sell anything; manage remaining orders and shares with your broker.
6. Your account and acceptable use
Keep your password and devices secure; we recommend Face ID or a passkey. Actions taken through your DipGrid sign-in are treated as yours, unless you told us your account was compromised before they happened. Tell us at [email protected] if you suspect someone else used your account. Keep your email address and phone number current. Never send broker passwords or codes to support. You may not use the Service for fraud, market manipulation, unauthorized access, evading broker rules or disrupting our systems. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own account; we keep all rights in our software.
7. Availability and changes to the software
The Service runs on internet infrastructure and third-party systems and may be unavailable at times. We do not promise uninterrupted access. If you need to act urgently, use your broker's app directly. If we change how a bot type trades in a way that matters, we tell you first and ask you to start the bot again; security and technical fixes may happen without notice.
8. Price, billing and cancellation
During the closed beta the Service is free. Before any paid plan starts, we show the price, billing period, first charge date, renewal and cancellation terms at checkout and ask for your separate consent to recurring charges. Payments are processed by Stripe; we never see your full card number. You can cancel renewal online at any time; access then continues to the end of the paid period.
When access ends — because you cancelled and the paid period is over, or because a payment failed — your bots stop, place no new orders, and we ask your broker to cancel all of their orders, buy and sell, while we still have access. An order whose cancellation is not confirmed can stay active and fill; we email you a list of such orders. Your shares stay in your broker account. We email you before access ends and when it ends. We will never sell your shares to collect a fee.
Refunds. Paid plans are billed in advance and are not refunded for partial periods: when you cancel, you keep access until the end of the period you paid for, and no further charges are made. Any free trial or practice account lets you try the Service before you pay. We refund in full a charge made in error, and if we stop providing the Service without a breach on your part, we refund the unused part of any prepaid period. This does not limit any refund or remedy that the law gives you or your right to dispute a charge with your card issuer.
9. Ending the relationship
You may stop using the Service at any time. We may suspend or end access for a material breach, a security threat, a broker restriction or a legal requirement, with notice where reasonably possible. While access is suspended, bots place no new buy orders and we ask your broker to cancel their open buys; a buy can still fill before its cancellation is confirmed. Sell orders keep working. When access ends, section 8 applies. Closing your DipGrid account does not close your brokerage account.
10. Risk and warranties
TRADING CAN CAUSE SUBSTANTIAL LOSS. AUTOMATION DOES NOT GUARANTEE PROFIT, EXECUTION OR A MAXIMUM LOSS. Please read the Automated Trading Risk Disclosure. To the extent permitted by law, the Service is provided "as available", without implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that a strategy will succeed or that an order will execute at a displayed price.
11. Limitation of liability
To the extent permitted by law: neither party is liable for indirect, incidental, special, punitive or consequential damages; and our total, aggregate liability for all claims arising out of or relating to the Service, under any legal theory, is limited to the greater of the fees you paid us in the 12 months before the event giving rise to the claim or US $500. These limits do not apply to fraud, willful misconduct, gross negligence or anything the law does not allow us to limit, and they do not waive rights you cannot waive. We are not liable for delays or failures caused by events beyond our reasonable control, such as internet, power or provider outages, a broker or market outage, natural disasters, war or government action. These limits are part of how we price the Service: our fees would be higher without them.
You agree to indemnify DipGrid and its owners, employees and contractors against claims, losses and reasonable costs, including attorneys' fees, arising from your breach of these Terms, your violation of law or your breach of your agreement with your broker, except to the extent caused by our fraud, willful misconduct or gross negligence.
12. Disputes and governing law
Florida law governs these Terms, subject to federal law and consumer protections that cannot be waived. Any dispute must be brought only in the state courts located in Pinellas County, Florida, or in the United States District Court for the Middle District of Florida, Tampa Division, unless the law gives you the right to another court. There is no mandatory arbitration and no class-action waiver. You can always write to us first at [email protected].
13. Changes, notices and general terms
We will email you about material changes at least 14 days before they take effect, unless the law or security requires faster action, and ask you to accept them again where required. Until you accept, your bots keep running as set and you can pause, stop or delete them, but you cannot add, start or change bots. Notices. You agree that we may give you these Terms, notices and other communications electronically — by email to your account email or in the app — and that they count as written. A notice is delivered when we send it to your account email. You can withdraw this consent only by closing your DipGrid account.
General. These Terms, the Automated Trading Risk Disclosure and the Privacy Notice are the entire agreement between you and us about the Service. We may transfer these Terms to a successor in a merger, acquisition or sale of our business; you may not transfer them without our written consent. If we do not enforce a provision, we do not waive it. If a provision is unenforceable, the rest remains in force. Nothing in these Terms waives rights under securities laws or other laws that cannot be waived.
